Master Services Agreement & Cloud Infrastructure Terms
Commercial Agreement & Scope of Services
This Master Services Agreement ("Agreement" or "Terms") constitutes a standard contractual framework between Pure Sovereign Infrastructure (PSI), an engineered sovereign compute initiative ("Provider", "we", "us"), and the contracting commercial entity, institutional subscriber, or enterprise client ("Customer", "Client", "you").
By provisioning compute slices, subscribing to sovereign cloud infrastructure tiers, deploying database clusters, or accessing PSI network endpoints, Customer agrees to be bound by these Terms and our Enterprise Privacy Charter.
Infrastructure Architecture & Tenancy Models
PSI provides high-assurance cloud computing, encrypted object storage, dedicated server racks, and private AI inference services across defined operational tiers:
Managed Infrastructure Services (DBaaS & S3 Storage)
Provisioned across shared physical compute clusters utilizing kernel-enforced PostgreSQL Row-Level Security (RLS), cryptographic schema separation, and scoped edge token routing. Zero co-tenancy data leakage is enforced at the database constraint layer.
Enterprise Bare-Metal Enclaves & 42U Server Racks
Provisioned on dedicated, non-shared physical hardware slices or complete turnkey 42U Modular Micro-Data Centers with dedicated PostgreSQL database instances, dedicated NVMe storage partitions, and dedicated local hardware VRAM allocations.
Service Availability & Target Service Levels
PSI commits to high operational engineering standards across our Canadian substrate:
- Availability Commitment: PSI targets a minimum of 99.95% monthly uptime for Enterprise tier services, excluding scheduled maintenance windows notified at least 48 hours in advance.
- Pilot Testbed Transparency: Services designated as "Pilot", "Preview", or "Sandbox" are provided for testing, benchmarking, and demonstration purposes with telemetry reflecting live cluster reference nodes.
- Automated Remediation: Autonomous operational daemons (BOB SRE) conduct continuous connection pool audits, resource reclamation, and zero-downtime micro-failovers.
Acceptable Use Policy (AUP)
Customer agrees to utilize PSI infrastructure solely for lawful commercial, educational, institutional, or enterprise operations. Customer shall not:
- Deploy distributed denial-of-service (DDoS) tools, network stress-testing suites, or botnets.
- Operate unauthorized cryptocurrency mining daemons without explicit bare-metal high-density compute approval.
- Distribute malware, ransomware, phishing vectors, or engage in illicit deceptive practices.
- Violate the intellectual property rights, trade secrets, or privacy of any third party.
Intellectual Property & 100% Customer Data Sovereignty
Customer retains sole and exclusive ownership of all software, codebases, custom domain identities, catalog data, databases, customer personal information, and proprietary trade secrets hosted on or transmitted through PSI infrastructure.
PSI claims zero intellectual property rights over Customer assets. Under no circumstance does PSI inspect, train AI models upon, monetize, or license Customer data.
Invoicing, Subscription Lifecycle & Graceful Egress
- Currency & Billing: Unless explicitly invoiced otherwise via an Enterprise Purchase Order, all recurring subscription fees are quoted and billed in Canadian Dollars (CAD).
- Cancellation & Data Portability: Customer may terminate monthly subscriptions at any time. Upon contract conclusion, Customer has full programmatic access to export all database dumps and S3 storage objects during a 30-day graceful egress window prior to cryptographic sanitization.
Limitation of Liability & Warranties
Except as expressly provided in an executed Enterprise SLA addendum, services are provided on an "as-is" and "as-available" sovereign compute basis. To the maximum extent permitted under Canadian law, PSI’s total aggregate liability for any claim arising out of this Agreement shall not exceed the total fees paid by Customer to PSI during the three (3) month period immediately preceding the event giving rise to liability.
Governing Law & Dispute Resolution
This Agreement is governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising hereunder shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.
